Etat de la théorie
La théorie des coûts de transaction est une des
théories économiques dont on parle le plus dans
la littérature. Elle remet en cause le marché comme
mode d'ajustement optimal, en opposant les structures de marché
et d'entreprise.
Le père fondateur de cette théorie est R. Coase.
Il a, le premier, mis en évidence que le passage par le
marché entraînait des coûts. R. Coase en déduit
que dans certaines situations, le recours à l'entreprise
permet d'économiser ces coûts.
O. Williamson caractérisera ces situations et proposera
une liste des facteurs explicatifs pour le choix entre marché
et entreprise.
On s'interrogera ensuite sur le caractère opératoire
de cette grille d'analyse, notamment pour évaluer l'impact
de l'utilisation des nouvelles technologies de l'information et
de la communication sur les modes d'organisation.

State of the Theory
The transaction cost theory is one of the economic theories
most often discussed in the literature. Lt challenges the market
as an optimal mode of adjustement, by contrasting the structures
of markets and of firms. The founding father of this theory was
R. Coase, the first to show that the market entails cost. He concluded
that in certain situations the choice of the firm reduced these
costs. O. Williamson characterized these situations and proposed
a list of factors explaining the choice between market and firm.
The author considers the operative nature of this analysis grid,
particularly for evaluating the impact of the use of new information
technologies on modes of organization.

Les connections électroniques prennent une place de
plus en plus importante à l'intérieur des entreprises
et entre les entreprises. Cet article développe un cadre
analytique permettant de mieux cerner cette évolution.
L'usage croissant des interconnections électroniques peut
être considéré comme la combinaison de trois
forces : l'effet de communication électronique, l'effet
de courtage électronique et l'effet d'intégration
électronique. La nature de ces interconnections hiérarchie
électronique ou marché électronique dépend
de facteurs tels que la simplicité des descriptions des
produits et le degré de spécificité des produits
vis-à-vis des clients. En réduisant les coûts
de coordination, les technologies d'information amènent
un changement global vers une utilisation plus grande des marchés
au détriment des hiérarchies pour assurer la coordination
des activités économiques. En appliquant ce cadre
analytique, il est possible de prévoir quelques-uns des
changements évolutifs qui auront vraisemblablement lieu
avec l'intensification de l'usage des technologies d'information.
ELECTRONIC MARKETS AND ELECTRONIC HIERARCHIES

Electronic links are becoming increasingly important in the inter-and intra-firm spheres. The present article develops an analytical frame for defining this evolution. The growing use of electronic interconnections can be considered as the combination of three forces : the effect of electronic communication, the effect of electronic brokerage and the effect of electronic integration. The nature of these interconnections electronic hierarchy or electronic market depends on factors such as the simplicity of product specifications and the degree of product specificity with regard to customers. By reducing co-ordination costs, information technologies lead to global change towards a more widespread use of markets, to the detriment of hierarchies, for the co-ordination of economic activities. By applying this analytical frame, it is possible to forecast some of the changes likely to attend the intensified use of information technologies.

- les limites de l'utilisation de communications électroniques
en lieu et place des interactions humaines.
S'agit-il d'une véritable nouvelle donne ou d'une réorganisation
de l'existant ? L'article laisse cette question ouverte.

This article focuses on the use of new information networks
in the business wold through their threefold impact :
- the changes they spawn in the corporate organization ;
- their impact on inter-firm relations ;
- the limites of the use of electronic communications as a replacement
for human interaction.
Can this be considered as a whole new set of circumstances or
merely a re-organization of existing ones. The article leaves
this question open.

: UNE APPROCHE PAR LA THÉORIE DES COÛTS
DE TRANSACTION
Dans cet article, nous définissons l'outsourcing comme
le transfert de tout ou partie des systèmes d'information
et de communication (SIC) existants d'une entreprise à
un tiers. L'article s'appuie sur le modèle central de la
théorie des coûts de transaction.
Traditionnellement, ce modèle porte sur le choix entre
faire et confier. Pour l' outsourcing, l'entreprise a déjà
supporté de lourds investissements sur plusieurs années.
Aussi, nous développons une analyse originale pour contribuer
à répondre à la question suivante : à
quelles conditions une entreprise peut-elle céder les droits
de propriété sur des équipements et logiciels
à forte spécificité, tout en établissant
une relation de long terme avec le prestataire ? Enfin, l'article
propose une généralisation et une réflexion
approfondie sur les choix organisationnels et modes de gouvernance
à adopter dans les cas d' outsourcing.
OUTSOURCING : AN APPROACH BY THE THEORY 0F TRANSACTION COSTS
In this article we define outsourcing as the transfer of all
or part of the existing information systems of a firm to a third
party. The article bases its argument on the main model of the
transaction costs theory.
Traditionally, this model concerns the choise between doing and
having done. In the case of outsourcing, the firm has already
made substantial investments over several years. We thus develop
an original analysis to help answer the following question : under
witch conditions can a firm transfer ownership rights on highly
specific equipment and software, and establish a long-term relationship
with the supplier ? Finally, the article proposes a generalization
and îndepth reflection on the organizational choises and
modes of governance to adopt in cases of outsourcing.

L' émergence et l'utilisation de réseaux de données
interentreprises s'inscrivent dans des contextes variables selon
les secteurs d'activité. Leur usage est conditionné
par la nature même des produits ou services qui constituent
l'activité principale de la filière, mais aussi
par le cadre réglementaire dans lequel s'inscrit chaque
filière. L' attitude des acteurs clés, les enjeux
qui sous-tendent l'utilisation de ces réseaux contribuent
aussi à expliquer les variations enregistrées dans
les pratiques. L'objet de cet article est d'étudier deux
filières distinctes, la pharmacie et la publicité,
et d'illustrer la multiplicité des facteurs qui conditionnent
le développement des réseaux interentreprises.
La théorie des coûts de transaction est mobilisée
comme cadre conceptuel. Les auteurs en soulignent l'intérêt
mais aussi les limites. Ils observent ainsi que l'ampleur et la
rapidité de la diffusion de ces réseaux sont apparemment
liés à la baisse des coûts de transaction
qu'ils permettent. La robustesse de certains concepts n'est donc
pas en cause. Ils rappellent toutefois l'importance des facteurs
exogènes et le rôle des institutions mal pris en
compte dans ce cadre d'analyse.

The Case of the Pharmaceutial and Advertising

The contexts in which the use of inter-firm data networks develops
vary, depending on the sector concemed. Their use is conditioned
by the very nature of the products or services constituting the
main activity of the branch, but also by the framework of regulations
under which each branch falîs. The attitude of the key actors
and the stakes underlying the use of these networks also help
to explain variations in pratices. The aims of the article is
to study two distinct sectors pharmaceuticals and advertising
and to illustrate the multiple factors conditioning the development
of inter-firm networks.
The theory of transaction costs is applied as a conceptual frame.
The authors point out both its advantages and its limits. They
thus observe that the extent to which and speed at which these
networks spread, are apparently related to the reduction in transaction
costs which they allow. The robustness of certain concepts is
therefore not in question. However, they recaîl the importance
of exogenous factors and the role of institutions inadequately
taken into account in this analytical frame.

d'élargir le champ d'application de cette théorie
àune lecture des processus à l'oeuvre.

Significant technological developments and the new economico-political
organization of the sector are causing an upheaval in the context
and nature of transactions in the telecommunications world.
The authors propose an evaluation of the contribution of the transaction
costs theory to these new conditions in a specific area : relations
between operators and equipement manufacturers. They conclude
that the scope of this theory needs to be widened to a reading
of the processes underway.
